These Terms of Service ("Terms") constitute a legally binding agreement between you and ScrumGPT ("we," "our," or "us") governing your access to and use of the ScrumGPT platform, website, and related services (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

To access certain features, you must create an account. You agree to:

• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

You agree not to use the Service to:

• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with the operation or security of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service

• Resell, sublicense, or redistribute the Service without written consent

You retain ownership of all content you create, upload, or store through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display Your Content solely as necessary to provide and improve the Service.

You are responsible for ensuring that Your Content does not violate any laws or third-party rights. We may remove content that violates these Terms.

The Service includes AI-powered features that generate suggestions, plans, and analyses. You acknowledge that:

• AI outputs are generated suggestions and should be reviewed before acting on them
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content
• You are responsible for decisions made based on AI suggestions
• AI features may be updated or modified as the technology evolves

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Automatic renewal at the end of each billing period unless cancelled
• Provide accurate billing information

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by law.

We offer a free tier with limited features. We reserve the right to modify the scope of the free tier, including feature availability and usage limits, at any time with reasonable notice.

The Service, including its design, code, branding, and documentation, is owned by ScrumGPT and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

To the maximum extent permitted by law, ScrumGPT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

You agree to indemnify and hold harmless ScrumGPT, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Service ceases immediately. You may request an export of Your Content within 30 days of termination.

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.

We may revise these Terms from time to time. Material changes will be communicated via email or a prominent notice within the Service. Continued use after changes take effect constitutes acceptance of the revised Terms.
